Please read these Terms of Use (“Terms”, “Terms of Use”) carefully before using https://astrotools.io and https://astro.exchange (the “Service”) operated by AstroTools Corp (“us”, “we”, or “our”).

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service.

By accessing or using the Service, irrespective of free trial or paid access, you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.

The AstroTools network (the “Site”) is comprised of various web pages, including AstroTools.io, Astro.Exchange, and AstroTools.ETH, operated by AstroTools Corp (“AstroTools”). AstroTools is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein (the “Terms”). Your use of the Site constitutes your agreement to all such Terms. Please read these terms carefully, and keep a copy of them for your reference.

RISKS

Cryptocurrency trading can be extremely risky. Customers should be prepared to lose all of the funds that they have in their account for cryptocurrency trading and more. They should not fund their cryptocurrency trading activities with retirement savings, student loans, second mortgages, emergency funds, funds set aside for purposes such as education or home ownership, or funds required for current income.

Customers must be cautious of claims of large profits from cryptocurrency trading. Customers need to be wary of advertisements or other statements that emphasize the potential for large profits in cryptocurrency trading. Cryptocurrency trading can also lead to large and immediate financial losses. Cryptocurrency trading requires knowledge of financial markets.

Cryptocurrency trading requires in-depth knowledge of the securities and tradeable utilities markets as well as trading techniques and strategies. In attempting to profit through cryptocurrency trading, an investor must compete with professional, licensed traders employed by firms often with large funds. An investor should have appropriate experience before engaging in cryptocurrency trading.

Cryptocurrency trading requires knowledge of a firm’s operations. An investor should be familiar with a firm’s business practices, including the operation of the firm’s order execution systems, procedures, and should confirm that a firm has adequate systems capacity to permit customers to engage in cryptocurrency trading activities.

Cryptocurrency trading may result in large commissions. Cryptocurrency trading may require an investor to trade his or her account aggressively, and pay commissions on each trade. The total daily commissions that they pay on trades may add to losses or significantly reduce earnings.

Cryptocurrency trading on margin or short selling may result in losses beyond the initial investment. When customers trade with funds borrowed from a firm or someone else, they can lose more than the funds originally placed at risk. A decline in the value of the securities that are purchased may require additional funds be paid to the firm to avoid the forced sale of those securities or other securities in an investors account. Short selling as part of a cryptocurrency trading strategy also may lead to extraordinary losses, because asset may have to be purchased at a very high price in order to cover a short position.

REPRESENTATIONS

AstroTools is an independent web site providing information from public data sources including blockchain transaction records and other platforms’ APIs. AstroTools also provides information from private data sources that may have been licensed or partnered with in order to deliver market data. Furthermore, AstroTools may provide information sourced from crowdsourced or user-generated information or contributions.

AstroTools is not offering to buy or sell assets mentioned on this web site and is not representing itself as a registered investment advisor or broker dealer. AstroTools is not licensed with any state or federal authority as an investment adviser. AstroTools is not in the business of giving individualized investment advice, and does not independently qualify trades for particular traders, nor pre-screen or qualify traders in order to assure that traders have the financial means or financial sophistication necessary to bear the risk of potential losses, or understand the particular transactions discussed by AstroTools. Accordingly, AstroTools makes no representations or warranties regarding the appropriateness or advisability of any particular trade for any particular trader or subscriber. Traders who choose to engage in futures transactions, whether discussed or not, do so for their own account and at their own risk. AstroTools actively encourages each of its subscribers to engage a qualified and licensed Investment Advisor for the purpose of independent consultation on any asset indexed or tracked by AstroTools.

AstroTools assumes no responsibility for and does not guarantee the accuracy or reliability of information, opinions, or advice provided on this site or in the real time chat from the staff of AstroTools or the other members. All decisions to act upon a future, whether to buy or sell, is the SOLE responsibility of the member.

AstroTools data presentation and organization does not represent that investors actually made the gains represented or actually traded in the assets that were the subject of the discussion. AstroTools specifically disclaims any implication that these trades fairly represent the nature, performance, or result of past historic future discussions, or that these discussions are representative of possible future gains. Subscribers should bear in mind that there are no guarantees that subscribers, will improve one’s gains or mitigate any potential losses from following any usage of AstroTools.

AstroTools relies on third party sources for data and is not responsible for connectivity or downtime issues of the third party. By using the Service, you waive all rights to sue for any losses or damages as a result of trades based on incorrect or delayed information due to third party errors. Therefore it is strongly suggested you verify the live status of the data before making a trading decision.

You understand and agree that you will not be entitled to any refund from AstroTools for whatever reason, and that your membership may be terminated by AstroTools in its sole discretion. You understand that you may cancel your membership at any time by transferring rights of your membership to another individual. You understand that by non-payment of your subscription before the beginning of the calendar month (or your cycle due date) will result in certain tools being disabled and your access to the web site (or parts of it) and real time chat restricted or removed. You understand that in the event you cancel your membership prior to your monthly subscription being used up, you are not entitled to any credits for your unused membership term. You agree, that upon canceling your membership, you will not “charge back” your previous incurred membership fees. Doing so will constitute a theft of service and you understand that you will be subject to applicable laws and prosecution. In the event you cancel your membership, and you wish to rejoin, you understand that you will need to reapply for membership. Reactivation of a cancelled membership is based on the sole discretion of AstroTools and should a membership reactivation be turned down, AstroTools is under no obligation to provide reasoning for such denial.

You understand and agree that any and all trading decisions are made by YOU alone. You accept all responsibility for transactions that occur in YOUR account with YOUR broker of choice. Due to the risk of loss which can be substantial when buying or selling futures, YOU should carefully consider YOUR financial condition as to whether trading futures is in YOUR best interest. YOU understand that when YOU buy or sell futures you can incur a loss of more than all YOUR capital. If the market moves against your position, you understand that you may be called upon by your broker to deposit a substantial amount of additional margin funds, on short notice, in order to maintain your position. If you do not provide the required funds within the prescribed time, you understand that your position may be liquidated by your broker at a loss, and you will be liable for any resulting deficit in your account.

You understand that AstroTools is not obligated or responsible for any trading activities between you and your broker of choice in your trading account. You understand there may be times when the market turns against you or under certain market conditions, it may become difficult, if not sometimes impossible, for you to liquidate a position, and you take full responsibility should this occur. You understand and agree that, should you buy or sell futures discussed or mentioned on the web site or in the real time chat, you may experience a profit and you may experience a loss.

You agree not to hold AstroTools responsible for your orders placed, your orders filled, your futures sold, your futures bought, your profits made, or your losses incurred.

You understand and agree that trading futures can be very profitable or can lead to large losses of your cash, capital, or assets, and you agree not to hold AstroTools responsible should you experience any losses, whether the losses are small or large. You agree and understand that this DISCLAIMER is not implying that these are the only risks involved in trading futures, and it is your sole responsibility to know, investigate, research, and assume all other risks associated with trading futures. You understand that results anticipated should not be based on past performance of assets discussed on the web site or in the real time chat.

AstroTools will not be held responsible or liable to members or any other parties for the following but not limited to: losses, loss of profits, costs or expenses, loss of use, damages (whether consequential or incidental) resulting from any errors in, emissions of, or alterations to information, links, downloaded material, or accessed material received while accessing the site. Generally reliable sources used to provide information which is discussed on the web site and in the real time chat cannot be guaranteed for accuracy or validity due to the fact that such companies and providers do not provide a guarantee either. As a courtesy to members, AstroTools may make available links to other service providers or vendors. AstroTools makes no warranties, express or implied, as to the fitness or reliability of these providers or vendors. Members are encouraged to assess independently the providers and their products or services.

AstroTools will not be held liable or responsible for, arising out of use, any interpretation or implementation of information on this site. By using this site, there is no warrant that information contained, obtained, or utilized is error or defect free, or that servers accessed are free of harm or any viruses. YOU agree to be responsible for any and all costs that may occur to your computer and all components.

YOU agree not to duplicate or solicit any information or material from the AstroTools site or the real time chat without the prior written approval and consent from AstroTools.

AstroTools operates the web site, social media accounts, and real time chat and YOU assume the entire risk of the trading technique YOU practice. AstroTools expressly disclaims any information posted by any source allowed to post information on the AstroTools web site. Information presented on the AstroTools web site, social media accounts, or in the real time chat is acted upon solely by YOU and actions taken are solely YOUR decision and not AstroTools.

AstroTools may have results, performance figures and/or statistics on its web site which are the results of back testing and simulations. You should be aware of the following CFTC rule (for educational purposes only):

AstroTools reserves the right to make adjustments to membership access fees including recurring subscription costs at any time it sees fit.

AstroTools has a no tolerance policy for abusive or vulgar language, and any other types of disruptions in the real time chat and reserves the right to ban members or anyone else found abusing this policy.

If any term of this Agreement is held invalid, illegal or unenforceable, the remaining portions shall not be affected.

The officers and/or staff of AstroTools may hold positions, long and/or short, in specific futures, including those discussed or mentioned on the web site or in the real time chat. These trades are not official positions of AstroTools and should not be used to assess your likelihood of trading success. You should be aware that some of (or all of) these trades may not have actually been executed in the market and as such all trades should be treated as hypothetical.

Be advised that any communications that you send to AstroTools or that AstroTools sends to you may be published on this web site in their entirety or in edited form. By sending AstroTools an email or otherwise communicating with AstroTools (through any medium) you acknowledge this condition.

ACCESS ACCOUNTS

If you create an account with us, you must provide us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service.

You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

You are solely responsible for maintaining access to your connection wallet (i.e., MetaMask) and ensuring the safety of your private keys.

INTELLECTUAL PROPERTY

The Service and its original content, features and functionality are and will remain the exclusive property of AstroTools and its licensors.

Our Service may contain links to third-party web sites or services that are not owned or controlled by AstroTools.

AstroTools has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party web sites or services. You further acknowledge and agree that AstroTools shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.

TERMINATION

We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service.

DISCLAIMER

Your use of the Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

GOVERNING LAW

These Terms shall be governed and construed in accordance with the laws of Panama without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.

REVISIONS AND AMENDMENTS

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to but are not obligated to provide at least 15 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
